LEGAL CONTRACT // SECTION 1

Terms & Conditions (Terms of Service)

Effective Date: 11 October 2026

1. Business Identity and B2B Status

These Terms & Conditions govern the provision of remote ECU/ECM calibration, technical file modifications, and software engineering support ("Services") by AutoCode Calibrations, an independent commercial business operated by Syed Haneef M as a sole proprietorship based in Tamil Nadu, India ("we", "us", "our").

Strictly B2B Trade Customers Only

Our Services are offered exclusively to commercial entities, independent automotive workshops, professional tuning technicians, fleet operators, and trade professionals ("Customer", "you"). We do not provide services to retail consumers. By requesting a quotation, submitting a file, or remitting payment, you warrant that you are acting solely in a commercial and professional capacity. Statutory consumer cancellation rights and cooling-off periods do not apply to these transactions.

2. Service Process & Electronic Delivery Channels

  • Scope: We provide remote modification, calibration, and analysis of ECU/ECM software files ("Deliverables"). We do not provide physical mechanical services, hardware, or diagnostic tools.
  • Agreed Delivery Channels: Services and final modified files are supplied strictly in digital format via electronic mail from our official address (files@autocodecalibrations.com / autocodecalibrations@gmail.com), via our verified official WhatsApp Business number (+91 91590 90411), or via secure cloud download link.
  • Confirmation of Delivery: Delivery is deemed full, complete, and legally received the moment the Deliverable or download link is transmitted to your provided email address or WhatsApp account (indicated by a successful outbound transmission log or WhatsApp delivery receipt).
  • Download Responsibility: You are solely responsible for downloading, verifying the integrity of, and securely archiving the file immediately upon receipt. We are not liable for files lost due to client-side data loss, expired third-party links, or unmonitored communication channels.

3. Customer Responsibilities and Warranties

As the trade professional handling the vehicle/equipment, you agree and warrant that:

  • Authority: You have the legal right and owner’s permission to modify the software of the specific vehicle/equipment.
  • Accurate Information: All details provided (hardware condition, requested modifications, ECU part numbers) are accurate.
  • Hardware Health: The vehicle/equipment is in good mechanical condition. You acknowledge that software calibration can expose underlying mechanical weaknesses.
  • Tool Quality: You are using professional, genuine, and reliable reading/writing tools (master/slave). We are strictly not responsible for ECU failures, "bricking," or communication errors caused by clone tools, voltage drops, or user error during the flashing process.

4. Intellectual Property

  • You retain ownership of the original file submitted to us.
  • We (or our technical suppliers) retain all intellectual property rights to the methods, logic, and modifications contained in the Deliverable.
  • We grant you a non-exclusive, non-transferable license to apply the Deliverable to the single specific vehicle/ECU for which it was purchased. You may not extract, copy, resell, or distribute our Deliverables.

5. Legal Compliance and Emissions (Important)

Certain calibrations (e.g., DPF, EGR, AdBlue, or catalytic converter modifications) may make a vehicle illegal for use on public roads in your jurisdiction.

Off-Road / Motorsport Use Only: Unless expressly stated otherwise, emission-related modifications are supplied strictly for motorsport, off-road, agricultural, or export use only.

It is your sole responsibility to comply with your local, state, and national laws regarding vehicle emissions, roadworthiness, and safety. We accept no liability for fines, penalties, or legal action resulting from your use of the Deliverables on public roads.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • No Consequential Loss: We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, loss of business, vehicle downtime, recovery costs, or hardware replacement costs.
  • Liability Cap: Our total cumulative liability for any claim arising out of or relating to a specific service or Deliverable shall not exceed the total amount paid by you for that specific file service.
  • Disclaimer: We provide digital files "as is" based on your instructions. We make no guarantees regarding specific horsepower gains, fuel economy metrics, or hardware longevity, as these depend heavily on vehicle condition and external variables.

7. Indemnity

You agree to indemnify and hold harmless AutoCode Calibrations, its owner, and suppliers from any claims, damages, liabilities, and expenses (including legal fees) arising from your breach of these terms, your use of non-genuine tools, your misdiagnosis of hardware faults, or your violation of applicable vehicle regulations.

8. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Tamil Nadu, India.

COMMERCIAL POLICY // SECTION 2

Refund, Revision & Cancellation Policy

Effective Date: 11 October 2026

Due to the digital, customized, and B2B nature of our services, this policy strictly governs refunds and revisions.

1. Cancellations & Refunds Before Work Commences

If you request a cancellation after payment but before we (or our suppliers) have begun analyzing or modifying the file, we will issue a full refund, minus any non-refundable transaction fees levied by the payment processor.

2. Cancellations & Refunds After Work Commences

  • Once work has begun, technical time and supplier costs are incurred. If you cancel a job while it is in progress, no refund will be provided.
  • Digital Irrevocability via WhatsApp/Email: Because calibration files delivered via email or WhatsApp cannot be recalled, returned, or unread once transmitted, all sales of delivered digital files are final. Transmission of the file or download link to your designated email or WhatsApp contact constitutes total fulfillment of the paid scope of work. We do not offer refunds for change-of-mind, customer misdiagnosis of a hardware issue, or if the end-customer decides they no longer want the modification.

3. Technically Undeliverable Services

  • If, after accepting payment, we discover the requested modification is technically impossible due to software limitations not apparent prior to payment, we will issue a full refund or provide a credit to your account.
  • Exception: If the service fails because you provided a corrupted original read, incorrect ECU details, or used incompatible/clone tools, you are not entitled to a refund.

4. Revisions

We stand by the quality of our work. If a Deliverable does not perform according to the originally agreed-upon quotation, we offer revisions under the following conditions:

Revision Window

You must request a revision within 30 days of file delivery.

Scope of Revision

Free revisions apply only to correcting errors against the original requested scope.

Exclusions: A revision is NOT a free opportunity to request additional modifications, adapt the file for different hardware (e.g., a larger turbo fitted after the initial tune), or apply the file to a different vehicle. These constitute a new request and will be billed accordingly.

Diagnostic Evidence Requirement: To process a technical revision, we strictly require you to provide specific diagnostic datalogs and fault codes. Refusal or inability to provide requested datalogs voids the right to free revisions.

COMMERCIAL POLICY // SECTION 3

Payment Policy

Effective Date: 11 October 2026

1. Invoicing and Payment Terms

  • All work operates on an advance-payment basis. Work will not commence until funds are cleared in our designated account, unless a prior written credit agreement is in place.
  • Quotations are valid for 14 days and are provided in USD, EUR, GBP, ZAR, or INR as specified in your quotation. You are responsible for all currency conversion fees and local taxes applicable in your jurisdiction.

2. Disputes and Chargebacks

We operate a fair revision and support process.

Mandatory Resolution Attempt

Before initiating any dispute or chargeback with your bank, credit card issuer, or payment provider, you agree to contact us at files@autocodecalibrations.com or via WhatsApp (+91 91590 90411) with diagnostic evidence of the issue and allow us a minimum of 5 business days to resolve the matter via a technical revision.

Unjustified Chargebacks: Filing a chargeback without first requesting a revision and providing the requested datalogs constitutes a breach of contract. We vigorously defend against unwarranted chargebacks by providing the payment provider with the original file, the modified Deliverable, communication logs, and these accepted Terms.

Account Suspension: Any account that initiates an unjustified payment dispute will be immediately suspended from accessing future services.

TECHNICAL POLICY // SECTION 4

File Upload and Acceptable Use Policy

Effective Date: 11 October 2026

When uploading files and requesting services from AutoCode Calibrations via email, WhatsApp, or our website portal, you agree to the following:

1. Original Reads Only

You must supply clean, original file reads from the vehicle. If you supply a previously modified file without disclosing it, we cannot guarantee the stability of the new calibration, and additional fees may apply to revert the file to stock before tuning.

2. No Stolen Property

You warrant that you are legally authorized to access and modify the software of the vehicle. You must not upload stolen files, proprietary files belonging to competing tuning companies, or files subject to third-party copyright restrictions.

3. Accurate Labeling

You must accurately provide the Vehicle Make, Model, Engine size, ECU Make/Model, and Hardware/Software numbers. We are not liable for delays or file errors resulting from incorrectly labeled uploads.

4. Malware & Security

Files must be free of viruses, malware, or corrupted data.
